第一題：
請附理由及法律依據回答下列問題：
（一）何謂「消費寄託」？何謂「隱名合夥」？【5分】
（二）阿章對老邱有 200 萬元債權，老邱為避免阿章的強制執行，與小李通謀就其所擁有
位於南投的一塊土地設定抵押權，則阿章得對老邱及小李主張何種權利？【10 分】
第二題：
老王將其位於桃園大溪的土地，先賣給小劉，之後老王又將該土地賣給阿華。請問：
（一）老王與阿華是否有效成立買賣契約？【8分】
（二）若老王先將桃園大溪的土地交予小劉占有，其後再辦理登記於阿華時，阿華是否
取得該地所有權？阿華得否對小劉請求返還其占有的桃園大溪土地？【12 分】
第三題：
A上市公司董事長甲已完成董事會開會召集通知之程序，然董事長甲卻於會議召開前二
日通知所有董事，董事會延期召開。不料所有董事仍按原定時間召開董事會，並於會中以臨
時動議方式，解任董事長甲的職務，同時由董事乙升任董事長。請分別回答下列問題：
（一）董事會完成召集通知之程序後可否延後開會，又延後開會的效力如何？【15 分】
（二）公開發行公司董事長之選任及解任得否以臨時動議提出？【20 分】

Compliance with Laws. The Company is not in material violation of any laws, rules,
or regulations which apply to the conduct of its business or any facilities or property
owned, leased, operated, or used by the Company. There has never been any citation,
fine, or penalty imposed, asserted, or threatened against the Company under any foreign,
federal, state, local, or other law or regulation relating to employment, immigration,
occupational safety, zoning, or environmental matters and the Company is aware of no
current circumstances likely to result in the imposition or assertion of such a citation, fine,
or penalty.【15 分】

Trade Secrets and Customer Lists. The Company owns or has the right to use, free
and clear of any claims or rights of others, all trade secrets, inventions, developments,
customer lists, software, and other information and know-how (if any) used in its business.
To the knowledge of the Company, the Company is not making any unlawful use of any
confidential information, copyrighted materials, know-how, or trade secrets of any third
party, including, without limitation, any former employer of any present or past employee
of the Company.【15 分】
